Cliffs Natural Resources Raises Offer for Freewest to CAD$1.00 Per Share
Cliffs Natural Resources Inc. (NYSE: CLF) (Paris: CLF) announced today that it has further amended the terms of the definitive agreement disclosed on Nov. 23, 2009, to acquire Montreal-based Freewest Resources Canada Inc. (TSX-V: FWR) by way of a plan of arrangement. The further amendment involves an increase in the price to a fixed value of CAD$1.00 in Cliffs shares per Freewest share. Cliffs also indicated it has entered into voting agreements with shareholders of Freewest holding an aggregate of 24.7 million shares, or approximately 10.5% of the Freewest common shares outstanding. These shareholders have agreed to vote in favor of the plan of arrangement.
At CAD$1.00, the increased Cliffs offer represents a premium of 217% to Freewest’s unaffected share price on Oct. 2, 2009, and a premium of 28% to a competing “final” takeover bid from Noront Resources Ltd., which, as of the market close on Dec. 9, 2009, had an implied value of CAD$0.78 per share, assuming a value of CAD$0.11 for the fraction of a Noront warrant. Recently, Noront has implied the value of the fraction of its warrant is as much as CAD$0.28. As Cliffs previously outlined in a news release on Dec. 7, 2009, it believes Noront is grossly overstating the value of this warrant and urges Freewest shareholders to review Noront’s valuation method closely.

Along time ago it occurred to me that there was a gap between the corporate job opportunities, the consistent demand for skilled workers, and the available candidates to meet that demand. Not to be biased, but I am a talented analyst, and all around technologist, but I found myself without a job back in the end of January of this past year. My background was stellar, and I had several referrals from junior and senior colleagues of upstanding stature, but for some reason I was not able to find a job. I tried career boards, professional networks, recruiters, and even resume writers to ‘repackage’. That's when it occurred to me to make opportunity where none existed. I believe challenges, if we look hard enough, might illuminate opportunities we never even considered, if those challenges did not present themselves.

The two acclaimed movies will compete for best feature film with the romance "500 Days of Summer" and the immigrant dramas "Amreeka" and "Sin Nombre."
"Precious: Based on the Novel 'Push' by Sapphire" also earned a best-actress nomination for newcomer Gabourey Sidibe, who plays an illiterate Harlem teen rising above a life of incest and abuse, and a supporting-actress slot for Mo'Nique, who plays her mother. The movie also grabbed honors for director Lee Daniels and screenwriter Geoffrey Fletcher.
Helen Mirren had a best-actress nomination for her role as Tolstoy's wife in "The Last Station," while Christopher Plummer earned a supporting-actor honor as the aging Russian author in the drama centered on a struggle over his estate. Filmmaker Michael Hoffman received directing and screenplay nominations for "Last Station."
The Spirit Awards will be presented March 5, two days before the Academy Awards, in a ceremony airing on the Independent Film Channel.
Absent from this year's Spirit Awards nominations is the acclaimed Iraq War drama "The Hurt Locker," which was eligible for those prizes last year. Because it was released theatrically this year, it is eligible for the 2009 Oscars, whose nominations come out Feb. 2.
